Customer Agreement

on obtaining information and purchasing E-tickets on the website of «The Moscow State Stanislavsky and Nemirovich-Danchenko Music Theatre» (MAMT)

1. BASIC TERMS

1.1. Theatre – The Moscow State Stanislavsky and Nemirovich-Danchenko Music Theatre (MAMT).

1.2. Customer – any Individual registered on the Theatre’s website, acting for purposes not related to entrepreneurial activity, who has paid for the E-ticket, and has the right to attend the Event.

1.3. Parties – Theatre, Customer (User).

1.4 Website – the website of the Moscow State Stanislavsky and Nemirovich-Danchenko Music Theatre (www.stanmus.ru/en).

1.5. Event – performances, concerts and any other events, held by the Theatre.

1.6. E-ticket – a Document in the form established by the Ministry of Culture of the Russian Federation generated by the Theatre ticketing system, protected by a special barcode which gives the holder the right to visit the specified in the E-ticket Event with following information: Ticket Series and Number, Event’s Title, Date and Time, as well the Stage at which the Event is supposed to be, Row, Place and Ticket’s Price.

1.7. Receipt – any electronic or paper document confirming Customer’s Order of E-tickets on the Website. The Receipt is not a Ticket and gives no right to attend Events.

1.8. Banking Cards – VISA, MasterCard credit cards, as well as Visa Electron и Maestro, the use of which is allowed for Internet payments (the information on payment opportunities may be obtained from the bank that issued the card).

1.9. Cashless Payment Procedure – Payment for Services and Goods in accordance with prescribed The Charter of the Theatre by types of activities, without the use of Cash, by crediting / debiting funds electronically, using bank cards.

1.10. Payment System – any specialized system purposed for receiving Payments from the Customers of the Website.

1.11. Registration/To Register – the procedure of creating a Personal account by storing of the Customer’s Login and Password in the database of the Website for further use of his/her Personal Account on the Website with the help of the Login and Password defined by SMS-message.

1.12. Personal Account – the personalized Customer’s page on the Website which can be entered after logging in. A Personal Account contains Customer’s personal data and history of Orders and is permanently on the Website.

1.13. Login – Customer’s mobile phone number used to log in to the Website.

1.14. SMS-code – a sequence of characters that allows the Customer to register on the Website and log in to your Personal Account. The SMS-code allows you to be sure that that no one will have access to the Customer’s Personal Account until they receive an appropriate permission. The SMS-code consists of numbers, the total number of which should not be less than 4 (four).

1.15. Order – a request to purchase E-ticket duly made on the Website.

1.16. Order Confirmation – confirmation by relevant Payment System of money debiting from the Customer’s Banking Card.

1.17. Agreement – the present User agreement.

2. SUBJECT OF THE AGREEMENT

2.1. The present Agreement regulates Customer’s activities associated with obtaining information and purchasing of E-tickets on the Website.

2.2. The present Agreement is a legally binding contract between the Customer and the Theatre regulating the use of the Website and is considered a deed of accession under Articles 426–428 of the Civil Code of the Russian Federation. The Theater reserves the right to use any and all advantages provided by the applicable to such event provisions of the Civil Code of the Russian Federation.

2.3. Any capitalized words and expressions used in the present Agreement, unless defined in the text, shall have meanings provided for the same in Article 1 of the present Agreement.

3. EFFECT OF THE AGREEMENT

3.1. The present Agreement shall enter in force and effect from the time the Customer Registers on the Website.

3.2. The Theatre reserves the right to amend the present Agreement without any additional notification of the Customer and notifies the Customer (and the Customer hereby accepts and agrees) that before making any new Order the Customer shall review the text of the present Agreement for any changes. 3.3. The Customer expresses his/her consent with the terms and conditions of the Customer Agreement by:

pressing the electronic buttons «To Pay» / «To Confirm» / «To Continue», as well as every time the Customer enters the Personal Account using the Login and the SMS-code;

actual use of the Website

3.4. The Customer has the right to refuse to accept the changes and additions to the Agreement made by the Theatre, which means the Customer’s refusal to use the Website for any purpose other than to obtain information.

4. REGISTRATION AND SECURITY

4.1. Registration Procedure

4.1.1. Registration of the Customer on the Website occurs automatically from the moment of the first purchase of E-tickets.

4.1.2. The Customer shall fill in the application form (electronic questionnaire) on the Website. Fields marked with asterisk are mandatory.

4.2. The Customer shall:

specify a valid mobile phone number in an international format and a valid E-mail address belonging to the Customer. The mobile phone number subsequently to be used as Login to access the Personal Account.

specify complete and accurate personal data (full name as indicated on the ID card) by completing the electronic questionnaire;

express consent with the terms of the present Agreement according to the procedure described in Clause 3.3.;

in order to complete the Registration procedure, enter the verification code automatically sent to the Customer’s mobile phone by the online ticketing system into the relevant box of the registration form.

4.3. Security

4.3.1 The Customer is fully responsible for the safety and security of the Login and SMS-code, as well as for all actions that will be performed on the Website under this Login.

4.3.2. The Customer is obliged to make payments and pay for the E-ticket only with the help of own bank cards belonging to the Customer.

4.3.3. Security of payments is provided by the acquiring company, which carries out Cashless Payment Procedure between the Customer and the Theatre.

5. RIGHTS AND OBLIGATIONS OF THE CUSTOMER

5.1. The Customer shall fully comply with the terms and conditions of the present Agreement.

5.2. The Customer shall be fully responsible for the authenticity of the data indicated in his/her Personal Account.

5.3. The Customer shall understand and agree that the Theatre shall consider logging in to the Personal Account as a full and irrevocable acceptance of the terms and conditions of the present Agreement.

5.4. After completing the Registration procedure on the Website the Customer shall receive a non-transferable right to use his/her Login and SMS-code to access the Website. The Customer shall have no right to transfer his/her Login and SMS-code to any third party, nor shall the same have any right to receive it from any third party otherwise than legally.

5.5. The Customer shall log off from his/her Personal Account (end every session by pressing the «Log Off» button) after finishing the work with the Personal Account in order to prevent any unauthorized use of the Personal Account by any third party.

5.6. The Customer shall promptly notify the Theatre on any event of unauthorized (not permitted by the Customer) access to the Personal Account with the use of the Customer’s Login at the e-mail address: ticket@stanmus.ru

5.7. The Customer has the right to order and pay for E-tickets on the Website and to demand a refund for unused E-tickets in accordance with the terms of this Agreement and the Rules for the Sale and Return of E-tickets (Article 7 of this Agreement).

5.8. The Customer shall keep confidential and shall not transfer to any third party the Receipt (whether a digital or paper a one), as well as the order number and/or code, except for any event where the Recipient under the relevant Order is the Customer’s authorized person.

5.9. The Customer shall have no right to reproduce, repeat, copy, resell, place on other websites or use for any business or advertising purposes any information from the Website, including any information on the Tickets and ticket prices offered on the Website.

5.10. When Registering on the Website or in event of any subsequent changes in the Personal Account the Customer shall have the right to refuse receiving any information or advertising messages relating to the Theatre’s activities.

6. RIGHTS AND OBLIGATIONS OF THE THEATRE

6.1. Any Order of the E-tickets through the Website and any Return of the E-tickets shall be effected in accordance with the terms and conditions of the present Agreement.

6.2. The Theatre shall indicate relevant ticket prices on the Website for every seat for every Event, as well as the seats available for the Order.

6.3. Shall the price of the E-ticket be indicated mistakenly, the Theatre must notify the Customer as soon as possible to re-execute the Order at the new price or cancel such an Order. If the Order has been paid the Theatre shall return the Payment.

6.4. The Theatre shall have the right to change the price of the E-tickets offered on the Website at its own discretion, in which event the Order Amount of the paid Orders shall remain unchanged.

6.5. In any event provided by the terms and conditions of the present Agreement the Theatre has the right to apply relevant penalties, impose fines.

6.6. The Theatre shall have the right to send to the Customer information messages relating to the provision of services (including the execution of any Order).

6.7. The Theatre shall have the right to send the Customer any information and advertising messages relating to Theatre’s activities in any event where the Customer agreed to receive such newsletters during Registration procedure or during any subsequent changes in settings in the Personal Account on the Website.

6.8. The Theatre has the right to restrict the Customer in the use of the Website and purchasing an E-ticket to Theatre’s Events in the following cases:

inability to identify the Customer;

if there is a clear discrepancy between the data provided by the Customer on the Website;

upon receipt of information from the Payment System about the commission or suspicion of a fraudulent transaction using the Customer’s Payment Instrument;

in case of establishing the fact of systematic (more than three times a month) treatment of the Customer with applications for a refund at the initiative of the Customer;

in case of establishing the fact of purchase by the Customer of E-tickets in quantity, exceeding reasonable personal use, from a single IP address and / or paid with one bank card.

6.9. The Theatre shall use the information received from the Customer:

to Register the Customer on the Website;

to perform obligations to the Customer in accordance with the present Agreement;

to assess and analyze the Website’s work;

to process any statistical data

7. REGULATIONS OF E-TICKET PURCHASE. REFUND AND RETURN

7.1. Payment and Refund Currency

7.1.1. In accordance with the applicable law of the Russian Federation, the currency of money Payment from the Customer’s Payment Instrument shall be Russian rubles.

7.1.2. In accordance with the applicable law of the Russian Federation, the currency of money Refund to the Customer’s Payment Instrument shall be Russian rubles.

7.2. E-ticket purchasing rules on the Theatre’s Website:

7.2.2 To pay for an E-ticket in real time on the Theatre’s Website, the Customer will need a Banking Card. In order to pay for the E-ticket, the Customer should select the Event of interest in the «Schedule» section for the required date and time. Available for booking E-tickets are indicated by the price range icon, which is located to the right of the Event’s Title, next to the date.

7.2.3. In order to purchase E-tickets the Customer shall choose a seat on the seating chart of the Event he/she would like to attend and make the Payment within 20 (twenty) minutes after the Order has been confirmed by clicking the «Continue» button. Shall the Order for any reason remain unpaid within this time it will be automatically canceled by the system and the Tickets will become available for further sale on the Website.

7.2.4 A single unpaid order can contain no more than 8 (eight) tickets at once. If necessary, several orders could be created, except for the first day of pre-sale of E-tickets, when the system will not allow creating more than one Order. Payment is made by one Order. The Customer has the right to issue no more than 3 (three) orders per day using one Payment instrument. The overall sum of the Orders should not exceed 100,000 (one hundred thousand) rubles (or its equivalent in foreign currency at the exchange rate of the Central Bank of the Russian Federation).

7.2.5. After confirmation of successful Payment, the Customer receives a confirmation of payment to his/her e-mail address specified during making the order:

Forms of E-tickets in the number of ordered seats;

Electronic Cash Voucher;

When purchasing an E-ticket for an Event and for a Parking Space, the Customer will receive a mixed E-ticket containing information about his/her seat in the Auditorium and vehicle identification details.

7.2.6. The Theatre has the right to cancel the Order in 10 (ten) minutes after its registration by the Customer on the Website in case of non-receipt of confirmation of successful payment for E-tickets from the Payment System.

7.2.7. The Theatre has the right to restrict the User from using the Website and purchasing E-tickets for the Theatre’s Events in case of violation of the established rules.

7.2.8. The Theatre is not responsible for the temporary or permanent termination of the Website.

7.2.9. The Theatre is not responsible for any direct and indirect losses of the User, occurred due to the use or inability to use the site by the User Theatre and unauthorized access to the Theatre website.

7.2.10. The Theatre is not responsible for time frame for the implementation of payments by the Payment System, Banks and other organizations, including returning funds. Payments are made on time and in the order prescribed by the issuing bank and payment systems.

7.2.11. The responsibility of the Theatre to the Customer is limited to the cost of the E-tickets paid for on the Website, disputes between the Theatre and the Customer are resolved through negotiations, and, if impossible, are regulated by the current legislation of the Russian Federation.

7.2.12. Please be advised that ordering E-tickets for privileged categories of citizens cannot be ordered on the Website!

7.2.13. In case of any questions the Customer can contact the Theatre by e-mail: ticket@stanmus.ru

7.2.14. Registration of Orders for the purchase of E-tickets and requests for refunds for E-tickets could not be made by phone.

PLEASE, PAY YOUR ATTENTION TO THE FACT THAT E-TICKETS SHOULD BE PRINTED IN A MANDATORY ORDER. THE THEATRE DOES NOT PROVIDE SERVICES FOR PRINTING OF E-TICKETS AT THE THEATRE’S BOX OFFICE.

7.2.15. The Theatre shall have the right to refuse to issue E-tickets to the Customer in case:

it is impossible to identify the Customer/Recipient/User;

of apparent discrepancy of the data provided by the Customer/Recipient /User on the Website;

information received from the Payment System evidences of any actual or suspected fraudulent operation with the use of Customer’s Payment Instrument;

Payment Refund for a relevant Order to the Customer’s Payment Instrument has been processed before the E-tickets were sent to the Customer’s e-mail address;

E-tickets issued by the relevant Order have been exchanged for the original Tickets at the Box Office.

7.2.16. The Parties agree that in case the Theatre refuses to issue Tickets to the Recipient for any of the reasons set out in Clause 7.2.15., both the Theatre and the Customer shall recognize any fact of non-receipt of E-tickets under a relevant Order by the Recipient as a fact of non-receipt of Tickets due to Customer’s fault and shall release the Theatre from an obligation to issue a Payment Refund for a relevant Order to the Customer.

7.3 Payment Refund Initiated by the Theatre

7.3.1. Any Payment could be returned only for E-tickets purchased via Payment Instrument on the Website.

7.3.2. Refunds for the E-ticket are possible in cases of cancellation, replacement or postponement of the Event at the initiative of the Theatre, as well as in case of technical problems that caused incorrect ordering of E-ticket on Theatre’s Website.

7.3.3. The information about the Order and time limit for the refund for E-ticket for each case of cancellation, replacement or postponement of the Theatre’s Event is announced on the official website www.stanmus.ru/en

7.3.4. An E-ticket for a postponed or replaced Event is valid for the newly announced Event, but the Customer has the right to demand a refund for the E-ticket.

7.3.5. In cases of cancellation, replacement or postponement of the Event, the payment for the E-ticket is refunded starting from the date of posting information (Theatre’s internal order to cancel, replace or postpone the Event) on the Website until the date specified in the order.

7.3.6. To make a refund for E-ticket in cases of cancellation, replacement or postponement of the Event, the Customer should send a free-form letter to ticket@stanmus.ru with the ticket order number, and explicitly state the desire to make a refund, as well as attach a copy of the E-tickets paid on the Website. The letter should be sent from the e-mail address specified by the Customer during registration at the Website.

7.3.7. Requests for Payment Refunds are processed on business days from 11:00 am to 07:00 pm Moscow time. The Theatre shall accept relevant request for processing only after the Customer has fulfilled the terms and conditions of Clause 7.3.6. in full.

7.3.8. Funds for the E-ticket are paid (transferred) according to the price indicated on the E-ticket.

7.4. Payment Refund at Customer’s Request

7.4.1. For reasons not related to the Customer’s illness or the death of a person who was a member of his/her family or his/her close relative in accordance with the Family Code of the Russian Federation, in accordance with the current legislation of the Russian Federation and this Agreement, the Customer has the right to apply to the Theatre with an application for a refund funds for an unused E-ticket. To return an E-ticket, the Customer must send the following package of documents to the Theatre by e-mail to ticket@stanmus.ru:

a copy of the Application Form for a refund for the E-ticket, indicating the reason for the return of the E-ticket;

a copy of the Customer’s ID (or his/her legal representative);

a copy of a Consent to the Processing of Personal Data;

E-ticket;

Electronic Cash Voucher

A distant refund of the E-ticket without visiting the Theatre is possible no later than 10 (ten) days before the Event. Less than 10 days before the Event, the return of the E-ticket is carried out only by personal appeal of the Customer to the Theatre’s Box Office situated in Moscow, on Bolshaya Dmitrovka Str., 17, daily, except Tuesday, from 02:00 pm to 07:00 pm, upon providing the full package of original documents specified above.

7.4.2. The Theatre has the right to accept and register the Customer’s application for a refund for the purchased E-ticket after the presentation of all the documents specified in clause 7.4.1. of the Agreement. The period for consideration of Customer’s application is 10 (ten) business days.

7.4.3. If the Customer refuses to visit the Theatre’s Event and applies for a refund for the E-ticket, the Customer has the right to:

when applying no later than 10 (ten) days before the Event to refund 100% of the E-ticket’s cost;

when applying less than 10 (ten) days, but no later than 5 (five) days before the Event to refund back at least 50% of the E-ticket’s cost;

when applying less than 5 (five) days, but not later than 3 (three) days before the Event, to refund at least 30% of the E-ticket’s cost.

when applying less than 3 (three) days before the Event, the E-ticket’s cost is not refundable.

7.4.3.1. In case of refusal to attend the Event due to illness, the Customer (or his/her legal representative) has the right to apply for the full refund of the E-ticket no later than the Event’s date. When submitting an application, the Customer is obliged to provide the following documents by sending them to the Theatre by e-mail to ticket@stanmus.ru:

a copy of the application for a refund for the E-ticket due to the Customer’s illness;

unused E-ticket;

a copy of the Customer’s or his/her legal representative ID

a copy of a certificate of a medical institution or certificate of incapacity for work, issued not

later than the date of the Event. If it is impossible to submit these documents before the start of the Event, the documents can be provided within 14 days from the date of the Event, provided that the application for refund due to illness and other documents were submitted before the start of the Event;

a copy of the completed Consent to the processing of personal data;

Electronic Cash Voucher

If necessary, the period for consideration of an application for the return of an E-ticket due to the Customer’s illness can be increased to 30 days.

7.4.3.2. In case of refusal to attend the performance due to death of a person who was a family member

of Customer or his/her close relative in accordance with the Family Code of the Russian

Federation, the User has the right to apply for the return of the E-ticket no later than the date of the Event and get the money back in full. When submitting an application, the Customer is obliged to provide the following documents by sending them to the Theatre by e-mail to ticket@stanmus.ru:

a copy of the application for a refund for E-ticket due to death of a relative;

unused E-ticket;

a copy of the Customer’s ID or his/her legal representative;

a copy of the completed Consent to the processing of personal data;

Electronic Cash Voucher;

a copy of registered death certificate, provided that the death in accordance with the submitted documents occurred no earlier than 10 days, but not later than the exact date of the Event. If it is impossible to provide the specified documents before the start of the Event, documents can be provided within 14 days from the day of the Event, provided that the application for refund due to death of a relative and other documents were provided before the start of the Event.

a copy or copies of documents confirming the degree of relationship.

If necessary, the period for consideration of an application for the E-ticket refund due to death of the Customer’s close relative can be increased up to 20 days.

7.4.4. The Customer also has the right to submit documents for the return of the E-ticket by registered mail with a list of attachments and a return receipt.

7.4.5. Funds for an E-ticket are paid according to the price indicated on the E-ticket.

7.4.6. Refunds are made to the bank card used to pay for the E-ticket, within the time frame and in the order established by the issuing bank and payment systems.

7.4.7. The date of the refund is the date when the funds were debited from the Theatre’s account.

7.4.8. The Theatre has the right to refuse the User a refund (payment) for E-ticket paid on the Website in following cases:

the form, details or design elements of the E-ticket do not correspond to the approved forms and details set out by the Theatre, or the E-ticket contains corrections or is fake;

in case that the User has submitted documents containing inaccurate information;

the E-ticket was realized within the framework of the Theatre’s special program;

the E-ticket was purchased in violation of the procedure established by the Law of the Russian Federation of October 9, 1992 No. 3612–1

8. CONFIDENTIALITY

8.1. The Theatre will provide access to Customer’s personal data only to those employees, contractors and agents who will need this information to secure safe operation of the Website and rendering services to the Customer.

8.2. Any Customer’s personal data will be processed in accordance with the applicable law. The Theatre shall process User’s personal data for the purpose of rendering services to the Customer, verification, research and analysis of such data, as well as to contact the Customer. The Theatre shall take all due measures to protect Customer’s personal data from any illegal access, distribution, change, disclosure or destruction.

8.3. The Theatre shall have the right to use cookies technology (cookies are private information sent by the web-server to the Customer’s computer for saving in the browser. Such technology shall be applied to save the data being specific for the User and used by the web-server for various purposes). Cookies shall not contain any confidential information and shall not be passed to any third parties.

8.4. The Theatre will receive the information on the IP address (the unique identifier of the device connected to the local network and/or Internet) of the Website User. This information will not be used to identify the Customer.

8.5. The Theatre shall have the right to use the information provided by the Customer, including any personal data, to secure compliance with the requirements set forth in the applicable law (in particular, for the purpose of preventing and/or suppressing any illegal and/or unlawful activities of the Customer). Any disclosure of the information provided by the Customer may be completed only according to the applicable law at the request of relevant court, law enforcement agencies or in any other event provided in the applicable law.

9. LIMITATION OF LIABILITY

9.1. The Customer shall use the Website and the functionality provided by the same at his/her own risk. The Theatre will not accept any liability, including any liability for the correspondence of the Website to Customer’s aims and expectations.

9.2. The Theatre shall bear no liability under any agreement between the Customer or any third party.

9.3. The Theatre shall not guarantee that the Website will conform to Customer’s requirements and that the Website will work continuously, quickly, reliably and without any mistakes. The Theatre shall have the right to terminate the whole Website or a part of its functions without any prior notice. The Theatre shall bear no liability for any temporary or permanent shutdown of the Website’s work.

9.4. As any ordering procedure with the use of any Website resources is an optional way of Purchase and this Website is an exclusive property of the Theatre, the Theatre shall bear no liability to the Customer in the part of redemption for any losses (damage), whether express or implied, that took place for the reason of any use or impossibility to use the Website or unauthorized access to the Personal Account and/or the Website, including any penalties, lawyer fees or legal fees resulting from the impossibility to make the Order and complete the Payment where the same relates to temporary unavailability of the resources of the Website or the Payment System.

9.5. The Theatre shall not be liable for any terms of completing Payments by the Payment System, banks or any other organization, in particular when refunding Customer’s Payment.

9.6. In any circumstances Theatre’s liability to the Customer shall be limited to the cost of the Tickets purchased by the Customer.

9.7. The Theatre shall not be liable for any information provided by the Customer on the Website for public access.

9.8. The Parties shall be exempted from any liability for any partial or full default on their obligations where such default resulted from any circumstances beyond reasonable control arising after entering into the present Agreement as a result of extraordinary events that could be neither foreseen nor reasonably prevented by the Parties.

10. FINAL PROVISIONS

10.1. This document shall constitute entire Agreement between the Customer and the Theatre, define the terms and conditions of using the Website and prevail over any preliminary agreements between the Customer and the Theatre, including (but not limited to) any former revisions of this Agreement.

10.2. In any event not mentioned in the present Agreement the relationship between the Theatre and the Customer shall be governed by the applicable law of the Russian Federation.

10.3.The Customer shall agree that any claims or actions arising from or relating to the use of the Website or any provision of the present Agreement shall be made within 3 (three) year after they arise, otherwise the same shall automatically become null and void upon such term notwithstanding any law or regulation to the opposite.

10.4. Any failure to act by the Theatre where the Customer is in breach with the present Agreement shall not deprive the Theatre of any right to take relevant activities to defend its interests later and shall not be understood as Theater’s waiver of its rights where the Customer admits any such or similar breach in the future.

10.5. Should any conflict arise from this Agreement and its scope, the Theatre and the Customer will take all possible efforts for their resolution through negotiations. Where it is impossible to resolve any dispute through negotiations the same will be resolved according to the norms of the Russian law.

10.6. Should the court deem the present Agreement or any of its parts invalid or unenforceable the same shall not result in invalidity or impracticability of any other terms or conditions of the present Agreement.

10.7. Any headings used in the text of the present Agreement are used for convenience only, shall not be deemed a part of this Agreement and may not be used for its legitimation.

10.8. The Parties agree that where the Customer agrees with the text of the present Agreement or expresses such agreement by Registering the Parties will recognize such Customer’s consent as his/her own signature.

10.9. All texts and graphic reproductions available on the Website shall be the property of the Theatre.

10.10. The Customer hereby agrees that the same is aware and fully accepts (without any additional reservations) the terms and conditions of the present Agreement set forth above including the «Rules and Regulations of Online Ticket Sales» on the Website set out on the special page of the Website and being, whether in full or in part, an integral part of the present Agreement. The Customer hereby agrees to observe any terms and conditions of the present Agreement in his/her relationship with the Theater and shall be legally liable to the Theatre in full.
